The Challenge

A national social care provider operating over 80 residential and supported living services across the UK, experienced significant financial pressures threatening operational viability. The organisation delivered vital support to adults with learning disabilities and mental health needs, with over 800 employees and approximately 700 vulnerable service users. The multi-entity group structure operating within a heavily regulated environment created substantial complexity, requiring careful stakeholder management including local authorities, landlords, and regulators whilst maintaining service delivery throughout the process.

Our Approach

Following detailed options review, we recommended an accelerated sale process to safeguard the underlying care services. Our team launched a targeted M&A campaign generating substantial market interest, with 31 parties signing NDAs and six formal offers received. We maintained close and constructive working relationship with prospective administrators, facilitating smooth appointment and completion whilst ensuring ongoing service delivery wherever possible.

The majority of the company’s operations were acquired, securing continuation of over 80 care services and preserving more than 800 jobs. The transaction ensured uninterrupted support for vulnerable residents, delivering stability for staff, residents, and local authority commissioners.
